These Terms of Service (“Terms”) govern your access to and use of the website atria-usa.com (the “Site”), operated by Euro Star Enterprises LLC (“ATRIA,” “we,” “us,” or “our”), a Texas limited liability company with offices at 17811 Davenport Rd, Suite 12, Dallas, TX 75252.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site.

These Terms cover general website usage only. Purchases of products through the Site are additionally governed by our Terms of Sale. Our collection and use of personal information is described in our Privacy Policy.

1. Eligibility

You must be at least 18 years of age to use this Site or place an order. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

1A. Consent to Electronic Communications

By using the Site or providing your email address to us, you consent to receive communications from ATRIA electronically, including order confirmations, shipping notifications, responses to inquiries, and legal notices. Electronic communications satisfy any legal requirement that such communications be in writing. To withdraw this consent, you must stop using the Site and notify us at sales@atria-usa.com.

2. Intellectual Property

All content on the Site — including but not limited to text, product descriptions, photographs, images, graphics, videos, logos, trademarks, trade names, color formulations, application guides, technical data sheets, and the overall design and layout of the Site — is the property of Euro Star Enterprises LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

The ATRIA name, ATRIA logo, and all related product names (including but not limited to SuperTitanium, Rasante One, Atriapol, and associated branding) are trademarks or registered trademarks of Euro Star Enterprises LLC.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site without our prior written consent, except as follows:

• You may temporarily store copies of materials in RAM incidental to normal browser access.
• You may store files that are automatically cached by your browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Site for your personal, non-commercial use and not for further reproduction, publication, or distribution.

Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

3. Permitted Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.

Certain areas of the Site may allow you to submit information, including but not limited to the Contact form, Get a Quote form, and chat functionality. By submitting any content or information to us through the Site, you grant ATRIA a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, and display such content solely for the purpose of responding to your inquiry, providing our services, and improving our products and Site.

You represent and warrant that you own or control all rights in and to any content you submit, and that such content does not violate these Terms or any applicable law.

5. Product Information and Descriptions

We endeavor to provide accurate product descriptions, color representations, coverage estimates, and technical specifications on the Site. However, we do not warrant that product descriptions, colors as displayed on your screen, coverage calculations, or other content on the Site are accurate, complete, reliable, current, or error-free.

Microcement, limewash, and other decorative coating products are inherently variable. Actual color, texture, and coverage may differ from what is displayed on the Site due to screen calibration, ambient lighting, substrate conditions, application technique, and other factors beyond our control. We strongly recommend ordering color samples before committing to a full project.

Material calculator estimates provided on the Site are for reference purposes only and do not constitute a guarantee of the quantities required for your specific project.

The Site may contain links to third-party websites or services that are not owned or controlled by ATRIA. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You agree to defend, indemnify, and hold harmless Euro Star Enterprises LLC, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, and settlements, including without limitation reasonable legal and accounting fees, resulting from or alleged to result from your violation of these Terms or your use of the Site.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, in each case located in Dallas County, Texas.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Site shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts as set forth in Section 10.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect by posting the updated Terms on this page with a revised “Last updated” date.

Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect any other provision of these Terms.

No waiver by ATRIA of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

These Terms, together with our Terms of Sale and Privacy Policy, constitute the sole and entire agreement between you and Euro Star Enterprises LLC regarding the Site.
